Special resolution to change, or specify, an asset lock body

A community interest company must deliver to the Registrar of Companies the following documents:

Important information

This is a statutory clause, which must not be removed from the memorandum and articles of association of a community interest company. Before submitting this type of resolution it is strongly recommended that you check the suitability of the asset locked body with the Regulator.

If a community interest company inadvertently delivers a copy of a resolution to the Registrar of Companies nominating an organisation which is not an asset locked body and it is placed on the public record the Regulator would require the community interest company to remedy the situation and meet the associated cost.
