DOCUMENTS AND FEE REQUIRED WHEN CONVERTING A COMMUNITY INTEREST COMPANY TO A NORTHERN IRELAND CHARITY
A community interest company must deliver to the Registrar of Companies for Northern Ireland the following documents:

- Three special resolutions*
- A statement from the Commissioners of Her Majesty’s Revenue and Customs**
- A copy of the memorandum and articles of association, as altered.
- A cheque made out to Companies House for £10 (see chapter 4.6)
*Three special resolutions altering its memorandum and articles of association:
- as considered appropriate to a company with exclusively charitable purposes
- to remove the statement that the company is a community interest company, and
- to change the name to one that does not have a CIC designation
**A statement from the Commissioners of Her Majesty’s Revenue and Customs that the company has claimed exemption under section 505(1) of the Income and Corporation Taxes Act 1988.
As the Registrar cannot register the special resolutions without the Commissioners’ statement it is essential that it is requested and obtained, before proceeding with the proposed conversion. See chapter 10.2 of the guidance.
