FORMS TO BE DELIVERED TO THE REGULATOR OF COMMUNITY INTEREST COMPANIES
Special resolution to change, or specify, an asset lock body
A community interest company must deliver to the Registrar of Companies for Northern Ireland the following documents:
(Click here for guidance on downloading forms)
- A copy of the special resolution changing the clause
- A copy of the memorandum, as altered
- No fee is charged
Important information
This is a statutory clause, which must not be removed from the memorandum and articles of association of a community interest company. Before submitting this type of resolution it is strongly recommended that you check the suitability of the asset locked body with the Regulator
If a community interest company inadvertently delivers a copy of a resolution to the Registrar of Companies for Northern Ireland nominating an organisation which is not an asset locked body and it is placed on the public record the Regulator would require the community interest company to remedy the situation and meet the associated cost. See chapter 5 of the guidance.
