FORMS TO BE DELIVERED TO THE REGISTRAR OF COMPANIES FOR NORTHERN IRELAND
Inserting, deleting or altering a clause in the memorandum and articles of association.
The community interest company must deliver to the Registrar of Companies for Northern Ireland the following documents:(Click here for guidance on downloading forms)
- A copy of the special resolution
- A copy of the memorandum, as altered.
- Certain types of resolution may require a fee please refer to Department of Enterprise, Trade and Investment website
Important Information
There are certain statutory clauses, which must not be removed from the memorandum and articles of association of a community interest company. These clauses are highlighted in red type in the models provided.
If a community interest company inadvertently delivers a copy of a resolution to the Registrar of Companies removing one of these clauses and it is placed on the public record the Regulator would require the community interest company to remedy the situation and meet the associated costs. See chapter 5 of the guidance.
