DOCUMENTS AND FEE REQUIRED WHEN CONVERTING AND REREGISTERING A PRIVATE COMPANY TO A COMMUNITY INTEREST PUBLIC LIMITED COMPANY
You are required to deliver to Registrar of Companies the following completed documents, with a fee.

- Form CIC37 application to convert a company to a Community Interest Company, inclusive of declarations.
- Special resolutions:
- to alter the company’s memorandum to state that the company is to be a community interest company;
- to make such alterations of the memorandum and articles of association as it considers necessary to comply with the requirements imposed by and by virtue of section 32 of the Companies (Audit, Investigations and Community Enterprise) Act 2004 or otherwise appropriate in connection with becoming a community interest company ;
- to change the company’s name to include one of the following designates community interest company / c.i.c. / community interest public limited company / community interest p.l.c.
- to make any required alterations to the articles of association of the company;
- to alter the company’s memorandum so that it states that the company is to be a public limited company;
- to make any other alterations to the memorandum so that it conforms to that required for a public limited company.
- Form 43 (3), an application to change the status from private to public which must be signed by a director or secretary of the company, and to be accompanied by the following documents:
- A copy of a balance sheet prepared not more than seven months before the application date and containing an unqualified report by the company’s auditors;
- a special report by the auditors regarding the net assets of the company at the balance sheet in relation to the company’s called-up share capital and its undistributable reserves;
- a valuation report on any shares issued as fully or partly paid up except in cash after the balance sheet date;
- a statutory declaration on Form 43 (3) (e) confirming that the resolution has been passed, and that there has been no change in the company’s financial position causing its net assets to be reduced to less than its called-up share capital and undistributable reserves.
